Terms of Service

The rules, billing terms, and core contract for using Chronicles.

These Terms of Service ("Terms") govern your access to and use of the Chronicles web application and related services (the "Service"). The Service provides conversational analytics, including analyzing uploaded datasets and files, generating charts and reports, and supporting scheduled analytics workflows.

By creating an account, purchasing a subscription, or using the Service, you agree to these Terms.

1) Eligibility and Account

  • You must be at least 18 years old (or the age of majority where you live) to use the Service.
  • You are responsible for all activity on your account and for keeping credentials secure.
  • You may not share accounts or access the Service through another user's account without permission.

2) Subscriptions, Credits, Billing, and Taxes

  • Features require a paid plan or the use of credits/quotas (for example: advanced models, scheduled runs, storage, or file uploads).
  • Billing: If you purchase a subscription, you authorize us (and our payment processor) to charge your payment method on a recurring basis until you cancel.
  • Cancellation: You can cancel anytime. Your plan remains active until the end of the current billing period.
  • Refunds: Fees are non-refundable except where required by law, or where our written cancellation or refund policy explicitly allows a refund.
  • Price changes: We may change prices or plan limits with advance notice. Changes apply to your next renewal unless stated otherwise.
  • You are responsible for applicable taxes, duties, or levies.

3) Your Content and Permissions

  • "Content" includes your prompts, chats, uploaded datasets/files (CSV, Excel, PDF, Word, images), and outputs you generate.
  • You own your Content. You grant us a limited license to host, process, transmit, and display your Content only to provide, secure, and improve the Service.
  • You represent that you have all rights to upload and use your Content and that doing so does not violate any law, contract, or third-party rights.
  • Do not upload sensitive personal data unless necessary and permitted (for example: government IDs, financial account numbers, health data). If you upload such data, you confirm you have a lawful basis to do so.

4) License to Use the Service

  • We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for your internal, lawful purposes, subject to these Terms and our Acceptable Use Policy.
  • We and our licensors retain all rights in the Service, including software, designs, and trademarks.

5) Acceptable Use and Security (Critical)

You agree that you will not:

  • Reverse engineer, decompile, disassemble, or attempt to discover source code, models, prompts, system logic, or underlying components of the Service.
  • Bypass, disable, or interfere with security features, rate limits, usage quotas, or access controls.
  • Attempt to gain unauthorized access to any system, database, account, chats, datasets, or information belonging to us or other users.
  • Upload malware, exploit payloads, or content intended to compromise the Service.
  • Use the Service to run non-analytic workloads (for example: crypto-mining, stress testing, bot farms, or automated scraping).
  • Deliberately create abusive workloads such as:
  • causing infinite/very long loops, runaway recursion, or uncontrolled retries;
  • triggering excessive compute, memory, or storage use;
  • repeatedly uploading files in a loop or attempting to exhaust quotas;
  • creating back-to-back schedules designed to overload infrastructure.
  • Probe, scan, or test the vulnerability of the Service without our written permission.

We may monitor for abuse and may throttle, suspend, or terminate access to protect the Service and other users.

6) Usage Limits and Fair Use

  • The Service may enforce limits (credits, rate limits, file size, storage, scheduled runs, concurrency, and daily quotas).
  • We may change limits over time for reliability, security, or product reasons.
  • Attempting to circumvent limits is a violation of these Terms.

7) Outputs and Responsibility

  • The Service may generate analyses, summaries, charts, or recommendations. Outputs can be incorrect or incomplete. Outputs are generated using AI models and may contain inaccuracies or omissions. Please double-check key facts, figures and sources before use.
  • You are responsible for verifying outputs before relying on them. The Service is not professional advice (financial, legal, medical, or otherwise).

8) Third-Party Services

  • We use third-party providers (for example: cloud hosting, payment processing, email delivery, analytics, and AI/model infrastructure). Your use of those services may be subject to their terms.
  • We are not responsible for third-party services outside our control.

9) Suspension and Termination

  • You may stop using the Service at any time.
  • We may suspend or terminate your access immediately if we believe you violated these Terms, the Acceptable Use Policy, or applicable law, or if your use risks harming the Service or others.
  • Upon termination, your right to use the Service ends. Certain sections (ownership, disclaimers, limitation of liability, indemnity) survive.

10) Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHRONICLES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR REVENUE.

OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE 3 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

12) Indemnity

You agree to defend and indemnify Chronicles from claims arising out of your Content, your use of the Service, or your violation of these Terms.

13) Governing Law and Disputes

These Terms are governed by the laws of India. Courts located in Mumbai, Maharashtra will have exclusive jurisdiction, unless applicable law requires otherwise.

14) Changes

We may update these Terms from time to time. If changes are material, we will provide notice (for example: within the app or by email). Continued use after the effective date means you accept the updated Terms.
